Terms and Conditions of Sale (T&Cs) – SPIRA

1. Scope
These T&Cs apply to any quotation, sale, manufacturing, delivery and/or installation of stairs, guardrails, balustrades and related components supplied by SPIRA. Unless expressly agreed otherwise in writing, they prevail over any customer terms.
The customer acknowledges having read and accepted these T&Cs at the latest upon ordering (signature of the order form, approval of execution drawings and/or payment of the deposit).
2. Quotation – Order – Contract documents
Unless stated otherwise, a quotation is valid for 30 days. The contract is formed upon signature of the order form and/or written agreement on technical and commercial points, as well as approval of the execution drawings.
Execution drawings are prepared by SPIRA’s engineering office and submitted to the customer or the customer’s architect for approval prior to production. Any change requested after approval will be invoiced.
3. Site measurement – Responsibilities
SPIRA measurements are carried out after finishes are in place to ensure final openings and levels. Any dimensions supplied by the customer after SPIRA’s measurement and explicitly noted as such on the drawings remain under the customer’s sole responsibility.
A made-to-measure staircase is manufactured based on the dimensions observed on site. Adjustments may be required depending on actual site conditions. If site conditions at the time of measurement differ from the information available at quotation stage, SPIRA may revise the quotation, after communicating the required adjustments for approval.
4. Price – VAT – Revision / indexation
Unless stated otherwise, all prices are exclusive of VAT. SPIRA applies the legally applicable VAT rate. It is the customer’s responsibility to verify the VAT rate applicable under the legislation in force at the time of signature.
Prices are based on wages (metal construction sector) and material prices in force on the date of the quotation or order confirmation. If invoicing (including partial invoices) occurs more than three months after that date, the price may be adjusted automatically: 2/5 according to wage evolution and 2/5 according to material price evolution, except to the extent a delay is attributable to SPIRA. The remaining part of the price is deemed fixed.
5. Lead times
Lead times start from written agreement on technical and commercial points, and after signature of the execution drawings and the order form. Compliance with lead times depends on timely provision of required information, approval of drawings and compliance with payment terms.
Indicative lead times: 40 working days for measurement and customer pick-up; 60 working days for measurement and/or delivery by SPIRA (and installation by the customer if applicable). In case of force majeure or unforeseen circumstances, SPIRA will inform the customer and a new date will be agreed. In case of delay, SPIRA’s liability is limited to applying statutory interest on the value of the delayed items.
6. Transport – Delivery
Transport is included only if explicitly stated on the order form. Delivery, when provided, can be made to the ground floor in Belgium. The customer (or an authorised person) must be present to assist with unloading. Any delivery constraints must be communicated in advance; otherwise additional costs may be invoiced.
7. Installation
Installation by SPIRA’s team is provided only if explicitly stated on the order form. During installation, the customer shall provide a compliant power supply (230 V / 20 A) and sanitary facilities. SPIRA does not provide protective coverings for finished items on site unless expressly agreed in advance.
If installation cannot be carried out on the agreed date for reasons beyond SPIRA’s control (site not ready, access issues, unsuitable working conditions, etc.), additional costs may be invoiced (travel and lost time).
8. Payment – Deposit – Late payment
A 35% deposit (rounded up to the next 500 €) is required to start production after approval of the final drawings. Where SPIRA does not install, the balance is payable before delivery or collection. Where SPIRA installs, the invoice is issued after installation and is payable upon receipt. The final invoice must be paid no later than 30 days from its issue date.
In case of non-payment, SPIRA will send a first reminder. If payment remains outstanding, SPIRA may suspend ongoing services, apply late payment interest at the applicable statutory rate and take any legal recovery steps. Goods remain SPIRA’s property until full payment is received.
Consumers: interest and any lump-sum compensation are applied in accordance with mandatory Belgian rules (free first reminder, 14-day period, statutory caps).
Business customers: interest and compensation apply in accordance with the rules for commercial transactions and the contract.
9. Finishes – Material characteristics
For steel components, SPIRA offers several treatment options but does not apply a final finishing coat unless stated otherwise: varnish (with natural visible characteristics: weld marks, heat tint, grinding traces), primer (temporary protection), galvanising (colour may vary). Wooden treads are supplied with two coats of varnish or one coat of oil depending on the finish. Aluminium parts are supplied without anodising or other surface treatment unless otherwise agreed. The customer is responsible for any additional finishing/maintenance required for durability and aesthetics.
10. Claims – Warranty – Right of withdrawal
Any claim regarding visible defects must be submitted in writing within 3 working days after delivery/collection (business customers) or 7 calendar days (consumers), subject to any more favourable mandatory consumer law provisions.
Applicable statutory warranties remain in force. Defects resulting from improper use, lack of maintenance or unsuitable conditions are not covered.
Distance contracts (consumers) – made-to-measure: where products are clearly manufactured to the customer’s specifications (made-to-measure), the right of withdrawal does not apply, in accordance with applicable regulations.
11. Cancellation
Cancellation by the customer gives rise to a lump-sum compensation of 25% of the order amount. If SPIRA has already carried out site measurement and prepared execution drawings, the compensation is increased to 30%. If manufacturing has already started in the workshop, the compensation is increased by the value of the work already performed. This is without prejudice to SPIRA’s right to prove and claim higher damages, within the limits of the law.
12. Retention of title
Goods remain the property of SPIRA until full payment of all amounts due.
13. Photographs – Permission
The customer authorises SPIRA to take photographs of the installed staircase and to use them for promotional purposes on any medium (print, website, social media). The customer waives any compensation or prior approval regarding such use. This permission is granted freely and informed and may be withdrawn at any time by a simple written request.
14. Confidentiality – Personal data
SPIRA respects the confidentiality of customer personal data. Data collected in the course of providing services are processed in accordance with applicable regulations. The customer may request access, rectification or deletion of their personal data. Full details are set out in the website’s privacy policy.
15. Governing law – Disputes
The contract is governed by Belgian law. Business customers: the courts of the Brussels district have jurisdiction. Consumers: mandatory jurisdiction rules applicable to consumers remain fully applicable.
